1. Acceptance of Terms

Welcome to Pegg. These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you” or “User”) and Pegg (“Pegg,” “we,” “us,” or “our”). By accessing or using the Pegg website, mobile application, or any associated services (collectively, the “Service”), you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you do not agree with any part of these Terms, you must discontinue use of the Service immediately. Your continued access to or use of the Service following any posted changes to these Terms signifies your acceptance of those changes.

These Terms apply to all visitors, registered users, buyers, sellers, and anyone else who accesses or uses the Service. Certain features or services may be subject to additional terms or guidelines, which will be presented to you at the time of use and are incorporated into these Terms by reference.

2. Eligibility & Your Account

You must be at least 18 years of age to create an account and use the Service. By registering, you represent and warrant that you meet this age requirement and that all information you provide during registration and throughout your use of the Service is accurate, current, and complete.

You are solely responsible for safeguarding the credentials associated with your account, including your password. You agree not to share your account credentials with any third party and to notify us immediately at support@pegg.app if you suspect unauthorized access. Pegg will not be liable for any loss or damage arising from your failure to maintain the confidentiality of your account.

We reserve the right to suspend or terminate accounts that contain false or misleading information, are operated by individuals who do not meet the eligibility requirements, or are used in violation of these Terms. You may not create more than one personal account, and you may not create an account on behalf of another person without their express written authorization.

You agree to keep your contact information, payment details, and shipping addresses up to date. Inaccurate information may result in failed transactions, delayed payouts, or account suspension.

3. Your Privacy

Your privacy is important to us. Our Privacy Policy describes in detail how we collect, use, store, and disclose your personal information when you use the Service. By agreeing to these Terms, you also acknowledge that you have read and understand our Privacy Policy.

We implement commercially reasonable security measures to protect your data. However, no method of electronic transmission or storage is completely secure, and we cannot guarantee absolute security. You are responsible for maintaining the security of any information you transmit to or through the Service.

We may communicate with you via email, push notifications, or in-app messages regarding your account, transactions, and Service updates. You can manage your communication preferences in your account settings, though certain transactional notifications (such as purchase confirmations and payout details) cannot be opted out of while your account remains active.

4. Use of the Service

Pegg provides a platform for individuals to track the value of their wardrobe, discover market pricing for fashion items, and buy or sell pre-owned clothing and accessories. You may use the Service only for its intended purposes and in compliance with all applicable local, state, national, and international laws and regulations.

You agree not to: (a) use the Service for any unlawful purpose or in furtherance of illegal activities; (b) post counterfeit, stolen, or misrepresented items; (c) manipulate prices, feedback, or search results; (d) interfere with or disrupt the integrity or performance of the Service; (e) attempt to gain unauthorized access to any portion of the Service or its related systems; (f) use bots, scrapers, or automated tools to extract data from the Service without our written consent; or (g) harass, abuse, or harm other users.

You are responsible for all activity that occurs under your account, including any content you post, transactions you initiate, and communications you send through the Service. You acknowledge that Pegg may monitor activity on the platform to detect fraud, enforce these Terms, and improve the Service.

We reserve the right, at our sole discretion, to remove content, restrict access to features, or take any other action we deem necessary to protect the integrity of the marketplace and the safety of our community.

5. User Content

“User Content” refers to any text, photographs, descriptions, reviews, messages, or other materials that you submit, post, or transmit through the Service. You retain ownership of your User Content; however, by posting it on Pegg, you grant us a worldwide, non-exclusive, royalty-free, transferable, sub-licensable license to use, reproduce, modify, adapt, publish, display, and distribute your User Content in connection with operating, promoting, and improving the Service.

You are solely responsible for the accuracy, legality, and appropriateness of all User Content you submit. You represent and warrant that you own or have the necessary rights and permissions to post such content and that it does not infringe upon the intellectual property rights, privacy rights, or any other rights of any third party.

Listings and associated photographs are visible to other users and may appear in search results, social media shares, and promotional materials. You should not include sensitive personal information in your listings or public profile.

We do not pre-screen all User Content, but we reserve the right to remove or disable access to any content that violates these Terms, is objectionable, or is otherwise harmful to the community, at our sole discretion and without prior notice.

6. Intellectual Property

The Service, including its original content (excluding User Content), features, functionality, design, logos, trademarks, and all underlying technology, is and shall remain the exclusive property of Pegg and its licensors. Our intellectual property is protected by copyright, trademark, patent, trade secret, and other applicable laws.

You may not copy, modify, distribute, sell, lease, or create derivative works based on any part of the Service or its content without our prior written permission. The Pegg name, logo, and all related names, marks, and slogans are trademarks of Pegg. You are not granted any right or license to use them without our express written consent.

If you believe that content on the Service infringes your intellectual property rights, please contact us at support@pegg.app with a detailed description of the alleged infringement. We will review all legitimate claims and take appropriate action in accordance with applicable intellectual property laws.

7. Purchases & Sales

Pegg operates as a marketplace platform that connects buyers and sellers. We are not a party to the transactions between users. When a sale is completed, the contract of sale exists directly between the buyer and the seller. Pegg facilitates the transaction but does not take title to or possession of any items listed on the platform.

Sellers are responsible for: (a) providing accurate and honest descriptions of items, including any defects, alterations, or signs of wear; (b) setting fair prices; (c) packaging items securely; (d) shipping within the timeframe specified at the time of sale; and (e) complying with all applicable laws related to the sale of goods.

Buyers are responsible for: (a) reviewing item descriptions and photographs carefully before purchasing; (b) paying the full listed price plus any applicable fees, taxes, and shipping costs; and (c) communicating promptly with sellers regarding any issues with received items.

Pegg may charge service fees on completed transactions. The applicable fee structure will be clearly disclosed before you confirm any sale. We reserve the right to modify our fee schedule at any time, with reasonable advance notice to affected users.

Returns and refunds are handled in accordance with our Return Policy. If an item is significantly not as described, arrives damaged, or fails to arrive, the buyer may be eligible for a refund. Disputes between buyers and sellers should first be resolved directly; if that is not possible, Pegg may step in to mediate at our discretion.

8. Payments

All payments on the Service are processed through Stripe, our third-party payment processor. By making a purchase or receiving a payout, you agree to Stripe’s terms of service in addition to these Terms. Pegg does not store your full payment card details; all sensitive financial information is handled directly by Stripe in accordance with PCI-DSS standards.

Seller payouts are initiated after a transaction is confirmed complete (i.e., the item has been delivered and any applicable review period has elapsed). Payouts are deposited into the bank account or payment method you have linked through Stripe. Payout timing may vary depending on your bank and location, and Pegg is not responsible for delays caused by third-party financial institutions.

Pegg retains a commission on each completed sale. The commission rate is displayed to sellers before listing confirmation and at checkout. This fee covers platform maintenance, payment processing, customer support, and ongoing development of the Service.

You are responsible for any applicable taxes arising from your transactions on the platform. Pegg may be required to collect and remit sales tax in certain jurisdictions and will do so where legally obligated. Sellers are independently responsible for reporting income from sales in accordance with their local tax requirements.

9. AI-Powered Features

Pegg uses artificial intelligence and machine learning technologies to provide features such as automated pricing estimates, market value assessments, wardrobe valuation, and listing suggestions. These AI-powered features are designed to assist you in making informed decisions about your wardrobe and transactions.

All pricing suggestions, valuations, and recommendations generated by our AI tools are estimates only. They are based on available market data, historical trends, and algorithmic analysis, and should not be construed as appraisals, guarantees of value, or promises that an item will sell at any particular price. Actual market value may vary based on factors including item condition, demand fluctuations, and buyer preferences.

You retain full discretion over the prices you set for your items. Pegg is not liable for any financial loss or dissatisfaction resulting from reliance on AI-generated pricing or valuation data. We recommend that you conduct your own research and use our AI tools as one of several inputs when making pricing decisions.

We continuously work to improve the accuracy and usefulness of our AI features. By using these features, you acknowledge that machine learning models may occasionally produce imprecise or unexpected results, and you agree that such occurrences do not constitute a breach of these Terms.

10. Limitation of Liability & Warranties

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, PEGG DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Pegg does not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not guarantee the accuracy, completeness, or reliability of any content, data, or information available through the Service, including AI-generated valuations and pricing estimates.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PEGG, ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF (OR INABILITY TO USE) THE SERVICE.

In jurisdictions that do not allow the exclusion or limitation of certain warranties or liabilities, our liability shall be limited to the greatest extent permitted by law. In no event shall our total aggregate liability to you exceed the amounts you have paid to Pegg in service fees during the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Pegg, its parent companies, subsidiaries, affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) your violation of these Terms; (c) your User Content; (d) your transactions with other users; or (e) your violation of any rights of any third party.

This indemnification obligation will survive the termination of your account and these Terms. Pegg reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate fully with Pegg in asserting any available defenses.

You acknowledge that your use of the Service is voluntary and that you assume all risks associated with buying, selling, and interacting with other users on the platform, including but not limited to the risk of dealing with underage users, foreign nationals, or individuals acting under false pretenses.

12. Dispute Resolution

We encourage users to resolve disputes amicably. If a disagreement arises between you and another user regarding a transaction, we ask that you first attempt to resolve it directly. Pegg may, at its discretion, offer mediation assistance but is under no obligation to do so.

For disputes between you and Pegg, you agree to first contact us at support@pegg.app and attempt to resolve the matter informally within thirty (30) days. If we are unable to reach a resolution during that period, either party may pursue formal dispute resolution.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service that cannot be resolved informally shall be settled by binding arbitration administered in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted on an individual basis; class actions and class arbitrations are not permitted.

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement or misappropriation of intellectual property rights. These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.

13. Termination

You may close your account at any time by contacting us at support@pegg.app or through the account settings in the Service. Upon account closure, your right to use the Service will immediately cease. Any pending transactions must be completed or cancelled before your account can be fully closed.

Pegg reserves the right to suspend or terminate your account at any time, with or without cause and with or without notice, if we reasonably believe that: (a) you have violated these Terms; (b) your account poses a security risk; (c) your conduct may expose Pegg or other users to legal liability; or (d) your account has been inactive for an extended period.

Upon termination, we may retain certain information as required by law or for legitimate business purposes, including record-keeping, resolving disputes, enforcing our agreements, and preventing fraud. Your User Content may persist in backups for a reasonable period after deletion but will not be actively displayed on the Service.

Provisions of these Terms that by their nature should survive termination shall remain in full force and effect, including but not limited to ownership provisions, warranty disclaimers, indemnification obligations, and limitations of liability.

14. Changes to Terms

Pegg reserves the right to modify or replace these Terms at any time. When we make material changes, we will notify you by updating the “Effective Date” at the top of this page and, where appropriate, sending you an email or in-app notification. We encourage you to review these Terms periodically.

Your continued use of the Service after any changes to these Terms constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service and close your account.

For significant changes that materially affect your rights or obligations, we will endeavor to provide at least thirty (30) days’ advance notice before the new terms take effect. However, changes required by law or those addressing security concerns may take effect immediately.
